By visiting our website, submitting a contact form, or entering into a service agreement with Allainz Techno Solutions, you agree to be legally bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must discontinue use of our website and services immediately.

These Terms apply to all visitors, clients, and users who access or use our website or services, including individuals representing companies or organisations.

Allainz Techno Solutions provides the following professional services related to Odoo ERP:

• End-to-end Odoo ERP implementation and configuration
• Custom module development and system customisation
• Data migration from legacy systems to Odoo
• System integration with third-party applications and APIs
• User training, workshops, and knowledge transfer
• Ongoing technical support and maintenance

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Service Agreement or Statement of Work ("SOW") signed between both parties. In the event of any conflict between these Terms and a signed SOW, the SOW shall take precedence.

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

• Use the website in any way that violates applicable UAE or international laws or regulations
• Transmit any unsolicited or unauthorised advertising, spam, or promotional material
• Attempt to gain unauthorised access to any part of our website, servers, or databases
• Upload or transmit viruses, malware, or any other harmful or disruptive code
• Scrape, copy, or reproduce any content from our website without prior written consent
• Impersonate Allainz Techno Solutions, our employees, or any other person or entity

We reserve the right to restrict or terminate access to our website for any user who violates these conditions, without notice.

To enable successful delivery of our services, clients agree to:

• Provide accurate, complete, and timely information required for project execution
• Assign a dedicated point of contact to liaise with our project team
• Review and provide feedback on deliverables within agreed timelines
• Ensure availability of necessary access, credentials, and resources as required
• Obtain any third-party software licences or permissions required for the project
• Make payments in accordance with the agreed payment schedule

All content on this website — including but not limited to text, graphics, logos, images, and code — is the intellectual property of Allainz Techno Solutions and is protected under applicable UAE and international copyright laws.

Custom deliverables: Upon full payment, clients receive ownership of custom-developed modules, code, and documentation created specifically for their project, unless otherwise agreed in writing.

Proprietary tools: Any internal frameworks, templates, or methodologies used by Allainz Techno Solutions during delivery remain our exclusive intellectual property and are not transferred to clients.

Odoo platform: The Odoo ERP platform is the intellectual property of Odoo S.A. Use of Odoo is subject to Odoo's own licence terms and agreements.

Payment terms for our services are as follows:

• All fees and payment milestones are specified in the signed Service Agreement or SOW
• Invoices are payable within 14 days of issuance unless otherwise agreed in writing
• Late payments may attract an interest charge of 1.5% per month on the outstanding balance
• All prices are exclusive of VAT; applicable UAE VAT (5%) will be added to invoices
• We reserve the right to pause or suspend work if payment becomes significantly overdue
• Refunds are considered on a case-by-case basis and are not guaranteed once work has commenced

Both parties agree to maintain strict confidentiality regarding any proprietary, sensitive, or business-critical information shared during the course of an engagement. This includes but is not limited to:

• Business processes, strategies, and operational data
• Financial information, pricing, and commercial terms
• Technical specifications, system architecture, and credentials
• Customer lists, databases, and personally identifiable information

Confidentiality obligations shall survive the termination of any service agreement and remain in effect for a period of three (3) years following the conclusion of an engagement, unless a separate Non-Disclosure Agreement (NDA) specifies otherwise.

Allainz Techno Solutions warrants that:

• Our services will be performed by qualified professionals with reasonable skill and care
• Deliverables will substantially conform to the agreed specifications in the SOW
• We hold the necessary expertise and partner certifications to deliver Odoo services

However, we do not warrant that:

• Our website will be available uninterrupted or completely error-free at all times
• Implemented solutions will be free from all bugs or defects post go-live without a support agreement
• Results or business outcomes arising from using our services will meet specific expectations

To the fullest extent permitted by applicable law, Allainz Techno Solutions shall not be liable for:

• Indirect, incidental, consequential, or punitive damages arising from use of our services
• Loss of revenue, data, business, or goodwill, even if advised of the possibility of such damages
• Losses arising from third-party software, including the Odoo platform itself
• Delays or failures caused by circumstances beyond our reasonable control (force majeure)

Our total cumulative liability to you under or in connection with these Terms shall not exceed the total fees paid by you to Allainz Techno Solutions in the three (3) months preceding the claim.

Either party may terminate a service engagement by providing written notice as specified in the signed SOW or Service Agreement. In the event of termination:

• The client shall pay for all work completed and expenses incurred up to the date of termination
• Allainz Techno Solutions will deliver all completed work products to the client within 14 days
• Confidentiality obligations shall remain in effect as described in Section 7
• We reserve the right to immediately terminate services in the event of material breach of these Terms by the client

We also reserve the right to suspend or terminate access to our website for any user violating these Terms without prior notice.

These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the laws applicable in the Emirate of Sharjah.

In the event of any dispute arising out of or in connection with these Terms or our services, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be referred to the competent courts of Sharjah, UAE, whose jurisdiction both parties accept as exclusive.

We reserve the right to update or modify these Terms and Conditions at any time. When changes are made, we will:

• Update the "Last Updated" date at the top of this page
• Post a notice on our website homepage for significant changes
• Notify active clients via email where required

Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms. We encourage you to review this page periodically.
